Welcome to easydocgen (“Service,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Service, including any associated features, content, and functionality, whether accessed via our website, applications, or integrations (collectively, the “Platform”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use our Service.

1. ACCEPTANCE OF TERMS

1.1 Binding AgreementBy creating an account, subscribing to the Service, or otherwise using the Service, you agree to these Terms, our Privacy Policy (as may be updated from time to time), and any other guidelines, rules, or operating policies that we post on the Platform or otherwise make available to you.

1.2 EligibilityYou represent and warrant that you have the legal capacity to enter into a binding contract with us and are not barred from doing so under any applicable law. If you are entering these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. DESCRIPTION OF THE SERVICE

2.1 Service Overvieweasydocgen is a software-as-a-service (SaaS) platform that provides tools for document generation, automation, and related services (collectively, the “Service”).

2.2 Service ModificationsWe reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. In such cases, we will provide reasonable notice, where feasible. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. ACCOUNT REGISTRATION

3.1 Account CreationTo use certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information and maintain it as such at all times.

3.2 Account SecurityYou are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of your account.

4. SUBSCRIPTION TERMS AND PAYMENT

4.1 Subscription PlansWe offer different subscription plans with varying features, usage limits, and billing cycles (e.g., monthly or annual). Information about our current plans can be found on our website or by contacting our sales team.

4.2 Annual SubscriptionsIf you purchase an annual subscription, the subscription fee covers your entitlement for the entire one-year period. No refunds or credits will be issued for partial periods if you cancel before the end of the annual term, except as required by applicable law or otherwise stated in these Terms.

4.3 Monthly SubscriptionsFor monthly subscriptions, your subscription fee covers your usage limit for each monthly billing cycle. Any unused portion of your monthly usage limit does not roll over to subsequent months.

4.4 OveragesIf you exceed your subscribed usage limits, we reserve the right to charge overage fees at our then-current rates. We will use commercially reasonable efforts to notify you when you approach or exceed your usage limits. However, your responsibility to pay overage fees is not contingent upon receiving such notice.

4.5 Payment ProcessingAll payments will be processed through our designated third-party payment processor. By subscribing to the Service, you authorize us (or our third-party payment processor) to charge your payment method for the applicable subscription fees, as well as any overage fees.

4.6 TaxesAll fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any taxes applicable to your subscription or use of the Service.

5. LICENSE AND INTELLECTUAL PROPERTY

5.1 License to Use the ServiceSubject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.2 Reservation of RightsWe (and our licensors) retain all right, title, and interest in and to the Service, including all intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms.

5.3 TrademarksAll trademarks, service marks, and trade names are the property of their respective holders. Nothing in these Terms grants you the right to use any trademark, service mark, logo, or trade name belonging to us or any third party, except as expressly permitted.

6. USER CONTENT

6.1 Content OwnershipAny documents, data, or other content (“User Content”) that you upload or generate through the Service remains your property. You represent and warrant that you have all necessary rights to submit User Content to the Service.

6.2 License to UsYou grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content for the purpose of providing and improving the Service, including without limitation support, security, and technical operations.

6.3 Responsibility for User ContentYou are solely responsible for all User Content that you submit, including its accuracy, legality, reliability, and appropriateness. We do not endorse or guarantee the accuracy or reliability of any User Content.

6.4 Data Hosting and Retention for Templates

  • Hosting Location: We host your templates in the data center you select, if such an option is provided. If you do not make a specific selection, we reserve the right to host your templates in a data center of our choice.
  • Retention Policy: You may not request immediate deletion of your templates at will; however, we will automatically delete your templates if they remain unused for a period of one (1) year. We also reserve the right to delete your templates if your subscription or license expires without renewal.
  • No Runtime Data Storage: We do not store any runtime customer data (e.g., the information you send into the templates for execution). Such data is used only for the real-time operation of the Service and is not retained on our systems once processing is complete, except as otherwise required by law or to the extent technically necessary for brief, temporary storage.

7. USER CONDUCT AND PROHIBITED USES

7.1 Prohibited ActivitiesYou agree not to use the Service for any purpose that is prohibited by these Terms or by applicable law. You specifically agree not to:

  • Use the Service to engage in any illegal activities or to promote illegal activities.
  • Violate or infringe upon the intellectual property rights of others.
  • Upload or transmit any material containing software viruses or other harmful computer code.
  • Interfere with the operation, security, or performance of the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

7.2 Right to Suspend or TerminateWe reserve the right, at our sole discretion, to suspend or terminate your access to the Service if we reasonably believe you are using the Service for illegal or unauthorized purposes, or if you are otherwise in breach of these Terms.

8. DATA PRIVACY AND SECURITY

8.1 Privacy PolicyOur Privacy Policy explains how we collect, use, and share your personal information. By using the Service, you agree to the terms of our Privacy Policy.

8.2 SecurityWe implement commercially reasonable security measures to protect your information. However, no method of data transmission or storage is 100% secure, and we cannot guarantee absolute security.

9. CONFIDENTIALITY

9.1 Definition“Confidential Information” includes, but is not limited to, non-public technical, financial, or business information disclosed by us or you that is marked as confidential or would reasonably be considered confidential under the circumstances.

9.2 ObligationsEach party agrees to: (i) maintain the other party’s Confidential Information in strict confidence; (ii) not disclose the Confidential Information to third parties without the prior written consent of the disclosing party; and (iii) use the Confidential Information only as necessary to fulfill its obligations under these Terms.

10. DISCLAIMER OF WARRANTIES

10.1 As Is, As AvailableTHE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No GuaranteeWe do not warrant that: (i) the Service will be uninterrupted, timely, secure, or error-free; (ii) the results obtained from the use of the Service will be accurate or reliable; or (iii) any errors in the Service will be corrected.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Certain DamagesTO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SERVICE.

11.2 Cap on LiabilityOUR MAXIMUM AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.3 Essential PurposeEach provision of these Terms that provides for a limitation of liability is intended to and does allocate the risks between the parties. This allocation is an essential element of the basis of the bargain between the parties.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless easydocgen, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your use of the Service; (ii) your breach or alleged breach of these Terms; or (iii) your violation of any rights of a third party.

13. TERM AND TERMINATION

13.1 TermThese Terms will remain in effect as long as you continue to use or subscribe to the Service.

13.2 Termination by YouYou may terminate your subscription or account at any time by following the instructions on the Platform or by contacting us at [Contact Email/Link].

13.3 Termination or Suspension by UsWe may terminate or suspend your account or access to the Service immediately if you breach these Terms, if we reasonably believe you are using the Service for illegal activities, or to prevent harm to the Service or other users.

13.4 Effect of TerminationUpon termination of these Terms or your account, your right to access and use the Service will immediately cease, and we may delete or deactivate your account and any related data. However, we will retain any data we are required to keep for legal or compliance reasons.

14. MODIFICATIONS TO TERMS

We reserve the right to revise these Terms at any time by posting the updated Terms on our website or within the Service. The “Last Updated” date at the top of these Terms will indicate when the latest modifications were made. Your continued use of the Service after any such changes indicates your acceptance of the new Terms.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing LawThese Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.

15.2 Dispute ResolutionAny dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. 16.2 SeverabilityIf any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

16.3 WaiverNo waiver of any term or provision of these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver of that right or provision.

16.4 AssignmentYou may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 NoticesAny notices required under these Terms must be given in writing and will be deemed given when sent via email to the last known email address of the party.

16.6 Force MajeureWe shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including acts of God, labor disputes, war, terrorism, riots, or governmental action.
